company recently formed for
the purpose of acquiring or
acquiring control of, through
a merger, capital stock exchange,
asset acquisition, exchangeable
share transaction, stock or
asset purchase or other similar
business combination, one or
more financial services businesses.
The company does not have any
specific business combination
under consideration and has
not (nor has anyone on its behalf)
contacted any prospective acquisition
candidate or had any discussions,
formal or otherwise, with respect
to such a transaction.
While the company may seek
to consummate business combinations
with more than one target, its
initial business combination
must be with one or more targets
whose fair market value is at
least equal to 80% of its net
assets (excluding the amount
held in the trust account representing
a portion of the underwriters'
discount) at the time of such
acquisition. Consequently, it
is possible that the company
will have the ability to consummate
only a single business combination.
However, Tailwind Financial
has no limitation on its ability
to raise additional funds through
the sale of securities or the
incurrence of additional indebtedness
that would enable it to consummate
a business combination with
an operating business having
a fair market value in excess
of 80% of its net assets (excluding
the amount held in the trust
account representing a portion
of the underwriters' discount)
at the time of such an acquisition.
